1. Introduction

These Terms of Service ("Terms", "Agreement") govern your access to and use of the Trades Panel construction management application and services (the "Service") provided by Bulldogs Digital Ltd ("we", "us", "our", or "Company"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service. Please read these Terms carefully before using the Service.

2. Definitions

  • "Service" means the Trades Panel web and mobile application, including all features, functionality, and content.
  • "Account" means your registered business account on the Service.
  • "User" means any individual who accesses or uses the Service.
  • "Account Owner" means the individual who created the Account and has primary administrative control.
  • "Account Member" means any user added to an Account with various permission levels.
  • "Subscription" means your paid or free plan subscription to the Service.
  • "Content" means any data, information, text, files, images, documents, or other materials uploaded, created, or stored through the Service.
  • "Trial Period" means the 14-day trial period for paid subscription plans.

3. Account Registration and Eligibility

3.1 Eligibility

To use the Service, you must:

  • Be at least 16 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate

3.2 Account Requirements

  • One Account Per Business: Each business entity may only maintain one Account. Creating multiple Accounts for the same business is prohibited.
  • Account Ownership: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your Account.
  • Account Transfer: Accounts cannot be transferred, sold, or assigned to another party without our express written consent.
  • Business Verification: We do not require business verification, but you represent and warrant that all information provided is truthful and accurate.

3.3 Account Members

Account Owners may invite Account Members to join their Account. Account Members are subject to these Terms and must comply with all applicable terms and conditions. The Account Owner is responsible for ensuring all Account Members comply with these Terms.

4. Service Description

Trades Panel is a cloud-based construction management platform that provides tools and features for managing:

  • Jobs and projects
  • Customer relationships and contacts
  • Quotes and estimates
  • Invoicing and financial management
  • Staff scheduling and time tracking
  • Document management
  • Job site mapping and geocoding
  • Purchase invoice processing
  • Reporting and analytics

The Service is available through web browsers and mobile applications (iOS and Android). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

5. Subscription Plans and Pricing

5.1 Available Plans

We offer the following subscription plans:

  • Free Plan: Basic features with limited quotas (5 seats, 5 jobs, 5 quotes)
  • Business Plan: £54.99 per month or £549.90 per year (billed annually, equivalent to 10 months)
  • Pro Plan: £89.99 per month or £899.90 per year (billed annually, equivalent to 10 months)

Additional seats may be purchased on the Pro Plan at £5.00 per seat per month (or £50.00 per seat per year if on annual billing).

All prices are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or fees imposed by your jurisdiction.

5.2 Plan Features and Quotas

Each plan includes specific features and quotas as described on our pricing page. Features and quotas may vary by plan. We reserve the right to modify plan features, quotas, or pricing with 30 days' advance notice.

5.3 Plan Changes

You may upgrade, downgrade, or cancel your Subscription at any time through your account settings. Changes to your Subscription plan will take effect at the start of your next billing cycle, unless otherwise specified.

If you downgrade your plan, you may lose access to certain features or exceed quotas. We are not responsible for any data loss or feature unavailability resulting from plan downgrades.

6. Billing, Payments, and Trials

6.1 Default Plan

All new Accounts are created on the Free Plan by default. You may continue using the Free Plan indefinitely or upgrade to a paid plan at any time.

6.2 Trial Period

Paid subscription plans (Business and Pro) include a 14-day trial period. To start a trial:

  • You must provide a valid credit card or payment method
  • The trial begins immediately upon selecting a paid plan
  • You may cancel at any time during the trial period
  • If you do not cancel before the trial ends, your payment method will be automatically charged for the selected plan
  • If you cancel during the trial, you will not be charged and your Account will revert to the Free Plan

6.3 Billing Cycle

Paid Subscriptions are billed monthly or annually in advance, depending on your selected billing frequency. Billing occurs automatically on the same date each month or year based on your Subscription start date.

6.4 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for all charges associated with your Subscription.

You are responsible for maintaining valid payment information. If a payment fails, we may suspend or terminate your Subscription.

6.5 No Refunds

All subscription fees are non-refundable. We do not provide refunds or credits for:

  • Partial billing periods
  • Unused portions of your Subscription
  • Plan downgrades or cancellations
  • Service unavailability or interruptions
  • Features removed or modified

If you cancel your Subscription, you will continue to have access to paid features until the end of your current billing period. After that, your Account will revert to the Free Plan (if available) or be terminated.

6.6 Price Changes

We reserve the right to modify Subscription pricing at any time. If we increase prices, we will provide at least 30 days' advance notice via email to the Account Owner. Price increases will take effect at the start of your next billing cycle after the notice period.

7. User Obligations and Acceptable Use

7.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal activities or in violation of any applicable laws or regulations
  • Misuse the platform in any way, including but not limited to:
    • Attempting to gain unauthorized access to the Service or other accounts
    • Interfering with or disrupting the Service or servers
    • Transmitting viruses, malware, or other harmful code
    • Reverse engineering, decompiling, or disassembling the Service
    • Scraping, crawling, or harvesting data from the Service
  • Upload, transmit, or store Content that:
    • Infringes on intellectual property rights of others
    • Is defamatory, obscene, pornographic, or offensive
    • Contains personal information of others without consent
    • Violates privacy rights or data protection laws
  • Create multiple Accounts for the same business
  • Share your account credentials with unauthorized parties
  • Use the Service to compete with or harm our business

7.2 Data Accuracy

You are responsible for ensuring the accuracy and completeness of all Content you upload or create in the Service. We are not responsible for errors, omissions, or inaccuracies in your Content.

7.3 Account Security

You are responsible for maintaining the security of your Account and for all activities that occur under your Account. You must:

  • Use a strong, unique password
  • Keep your account credentials confidential
  • Notify us immediately of any unauthorized access or security breach
  • Log out of your account when using shared or public devices

8. Intellectual Property

8.1 Service Ownership

The Service, including all software, code, designs, text, graphics, logos, and other materials, is owned by Bulldogs Digital Ltd or our licensors and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms.

8.2 Your Content

You retain all ownership rights to Content you upload, create, or store in the Service. By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

  • Host, store, and process your Content to provide the Service
  • Access, use, and modify your Content as necessary to operate, maintain, and improve the Service
  • Create backups and copies of your Content for data protection and disaster recovery purposes

This license terminates when you delete your Content or terminate your Account, except that we may retain copies as necessary to comply with legal obligations or for backup and disaster recovery purposes.

8.3 Data Access and Export

You may access, download, and copy your Content through the Service where such functionality is available. You are free to remove your Content at any time, subject to our data retention policies as described in our Privacy Policy.

9. Service Availability and Modifications

9.1 Service Availability

We do not guarantee uninterrupted or error-free access to the Service. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide at least 7 days' advance notice via email to Account Owners where possible)
  • Unscheduled maintenance or technical issues
  • Third-party service outages
  • Force majeure events (see Section 15)

We are not liable for any losses or damages resulting from Service unavailability or interruptions.

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including:

  • Features and functionality
  • User interface and design
  • Subscription plans and pricing
  • Quotas and limitations

We will provide at least 30 days' advance notice for material changes to Subscription plans, pricing, or features that may adversely affect your use of the Service. Notice will be provided via email to the Account Owner.

9.3 Plan Discontinuation

We may discontinue Subscription plans at any time with 30 days' advance notice. If your plan is discontinued, we will:

  • Notify you via email at least 30 days in advance
  • Offer you the opportunity to migrate to an alternative plan
  • If no alternative is available, allow you to continue on your current plan until the end of your billing period

10. Account Termination

10.1 Termination by You

You may terminate your Account at any time by:

  • Cancelling your Subscription (if applicable) through your account settings
  • Requesting account deletion through our account deletion process

Upon termination, you will lose access to your Account and all Content. We will retain your data in accordance with our Privacy Policy, including 7-year retention for legal and tax compliance purposes.

10.2 Termination by Us

We may suspend or terminate your Account immediately, without notice, if:

  • You breach these Terms or our Acceptable Use Policy
  • You engage in illegal activities or misuse of the platform
  • You fail to pay Subscription fees when due
  • You violate intellectual property rights
  • We are required to do so by law or court order
  • We determine, in our sole discretion, that your use poses a security risk or harm to the Service or other users

10.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • All Content may be deleted (subject to legal retention requirements)
  • You remain liable for all charges incurred up to the date of termination
  • No refunds will be provided for unused Subscription periods

11. Limitation of Liability and Disclaimers

11.1 Limitation of Liability

Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed £2,000 or 12 months of your Subscription fees (whichever is higher).

This limitation applies regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or otherwise.

11.2 Exclusion of Certain Damages

To the maximum extent permitted by law, we shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Loss or corruption of data
  • Service interruptions or unavailability
  • Errors or omissions in Content
  • Third-party actions or conduct

11.3 Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service will meet your specific requirements
  • Results obtained from the Service will be accurate or reliable

11.4 Financial Reports Disclaimer

IMPORTANT: The Service provides financial reporting and data management tools. We do not provide financial, accounting, legal, or tax advice. Any financial reports, calculations, or data generated by the Service are for informational purposes only and should not be relied upon as professional advice.

You should consult with qualified professionals (accountants, lawyers, tax advisors) for advice on financial, legal, or tax matters. We are not responsible for any decisions made based on information provided by the Service.

11.5 Third-Party Services Disclaimer

The Service integrates with third-party services, including but not limited to:

  • Stripe: Payment processing - subject to Stripe's terms and conditions
  • Google Maps API / Mapbox: Mapping and geocoding services - subject to their respective terms
  • Vercel BotID: Security and bot protection - subject to Vercel's terms
  • Other third-party services: As described in our Privacy Policy and Cookie Policy

We are not responsible for the availability, functionality, or content of third-party services. Your use of third-party services is subject to their respective terms and conditions and privacy policies. We are not liable for any issues, errors, or data loss resulting from third-party service failures or interruptions.

11.6 Data Loss Disclaimer

While we implement security measures and backup procedures, we do not guarantee that your Content will be secure, backed up, or recoverable. You are responsible for maintaining your own backups of important Content. We are not liable for any loss or corruption of your Content.

12. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, and protect your personal information.

By using the Service, you consent to our data practices as described in our Privacy Policy. We process your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and other applicable data protection laws.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

13.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.3 Mediation

Before initiating court proceedings, you agree to attempt to resolve any dispute through good faith negotiation and, if necessary, mediation in accordance with the rules of a recognized mediation service in England and Wales.

If mediation is unsuccessful, either party may commence legal proceedings in the courts of England and Wales.

14. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, earthquakes, floods, fires, or other acts of nature
  • War, terrorism, civil unrest, or acts of government
  • Pandemics, epidemics, or public health emergencies
  • Labor strikes, work stoppages, or other labor disputes
  • Internet or telecommunications failures or disruptions
  • Third-party service outages or failures
  • Cyberattacks, security breaches, or other malicious acts
  • Power outages or infrastructure failures

If a force majeure event continues for more than 30 days, either party may terminate these Terms upon written notice to the other party.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

15.2 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to Account Owners at least 30 days in advance. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you must stop using the Service and terminate your Account.

15.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer these Terms or your Account without our express written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.

15.6 Relationship

These Terms do not create a partnership, joint venture, employment, or agency relationship between you and us.

15.7 Notices

Notices to you may be sent to the email address associated with your Account. Notices to us should be sent to support@tradespanel.com or to our registered address.

15.8 Survival

Sections 8 (Intellectual Property), 11 (Limitation of Liability), 12 (Data Protection), 13 (Dispute Resolution), and 15 (General Provisions) shall survive termination of these Terms.
